2. Service Overview

Paypro Ltd provides payroll and CIS payroll processing, timesheet management, and associated administrative services to contractors and their subcontractors.

We act as a service provider to facilitate payments and reporting between contractors, subcontractors, and HMRC, where applicable.

3. Contractor Obligations

• The Contractor must ensure all subcontractor details, rates, and job information
• provided to Paypro Ltd are accurate and up to date.
• The Contractor is responsible for ensuring that subcontractors are legitimately engaged
• and eligible for payment under CIS or PAYE, as applicable.
• The Contractor agrees to supply timesheet approvals and relevant job details in
• accordance with the deadlines set by Paypro Ltd

4. Payment Terms

• The Contractor must make payment in full to Paypro Ltd before any subcontractor payments are released.
• Payments are due on receipt of invoice, unless alternative terms have been expressly agreed in writing.
• Any delay in payment may result in corresponding delays in subcontractor payments.
• Paypro Ltd reserves the right to suspend services or withhold payments to subcontractors if the Contractor’s account is overdue.
• All payments must be made in GBP (£) by bank transfer to the account details provided on the invoice

5. Fees and Charges

• Service fees will be outlined in writing at the start of the engagement or as otherwise communicated in updated pricing schedules.
• Paypro Ltd reserves the right to amend its pricing with reasonable notice.
• All fees are exclusive of VAT (if applicable), which will be added at the prevailing rate.

6. Liability

• Paypro Ltd will exercise reasonable skill and care in delivering its services.
• We are not liable for any loss arising from inaccurate information supplied by the Contractor or Subcontractors.
• We are not responsible for delays in payment caused by bank errors, incomplete data, or non-payment by the Contractor.
• Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, or death/personal injury caused by negligence.

7. Termination

Either party may terminate this agreement with 14 days’ written notice. Paypro Ltd may terminate immediately if:

• The Contractor fails to pay invoices when due;
• False or misleading information is provided; or
• There is a material breach of these Terms.

Upon termination, all outstanding payments and fees become immediately due.
